Terms of Use & Equity Duke Master Toolkit License Agreement

These Terms of Use (“Terms”) govern your access to and use of this website (the “Site”) operated by Merged Holdings Co. (“Merged Holdings,” “we,” “us,” “our”). These Terms also include the license terms for the Equity Duke Master Toolkit (the “Toolkit”).

By accessing this Site or purchasing/using the Toolkit, you agree to these Terms.

1) Who We Are

Merged Holdings Co. provides licensing and intellectual property management related to business operating tools, including the Equity Duke Master Toolkit.

2) No Professional Advice

Information provided on this Site or within the Toolkit is for general informational and educational purposes only. It is not legal, tax, accounting, or financial advice. You are responsible for how you apply any information or tools. For professional advice, consult a licensed professional.

3) Digital Product Delivery (Instant + Email)

The Toolkit is a digital product.

After purchase, you may receive instant access (such as a download link or access instructions). In addition, we may send a follow-up email within 24 hours with confirmation and/or access details.

If you do not receive access or instructions within 24 hours of purchase, contact mdirector@theequityduke.com and include the email used at checkout.

4) Equity Duke Master Toolkit License (One-Time License)

When you purchase the Toolkit, you receive a limited, non-exclusive, non-transferable license to use the Toolkit for internal purposes only, subject to these Terms.

Allowed

• Personal use (individual operator)
  
  

• Internal use within your owned business entity (including your team members/contractors working under your direction)
  
  

• Internal copies needed for operational use
  
  

Not Allowed

• Reselling, sublicensing, gifting, sharing, or redistributing the Toolkit (in whole or part)
  
  

• Posting the Toolkit (or any portion) online, in public drives, communities, or social media
  
  

• Repackaging, relabeling, or claiming the Toolkit as your own product
  
  

• Using the Toolkit to create competing products or derivative templates for sale or distribution
  
  

We reserve the right to terminate this license if we reasonably believe misuse, redistribution, or abuse has occurred.

5) Optional Updates Membership

If we offer an optional membership for updates, it is separate from the one-time license. Membership benefits, pricing, billing frequency, and cancellation terms will be disclosed at the time you enroll.

6) Refund Policy

Because the Toolkit is a digital product, all sales are generally final.

However, we may review refund requests on a case-by-case basis for duplicate purchases or clear technical delivery failures that we cannot resolve. To request review, email mdirector@theequityduke.com within 7 days of purchase and include your receipt email.

7) Intellectual Property

The Site and Toolkit content, including templates, spreadsheets, frameworks, brand names, text, and design elements, are owned by or licensed to Merged Holdings Co. All rights not expressly granted are reserved.

8) Acceptable Use

You agree not to:

• Attempt to reverse engineer, scrape, hack, or disrupt the Site
  
  

• Use the Site or Toolkit for unlawful purposes
  
  

• Misrepresent your affiliation with Merged Holdings Co.
  
  

• Share access links or files in a way that enables unauthorized use
  
  

9) Disclaimer of Warranties

The Site and Toolkit are provided “as is” and “as available.” We do not guarantee that the Toolkit will produce specific business results. Results vary based on implementation, market conditions, and user decisions.

10) Limitation of Liability

To the maximum extent permitted by law, Merged Holdings Co. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Site or Toolkit.

If liability is found, our total liability will not exceed the amount you paid for the Toolkit.

11) Changes to These Terms

We may update these Terms from time to time. The “Effective Date” will reflect the latest version. Continued use of the Site or Toolkit after changes means you accept the updated Terms.

12) Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.
